Terms of Service

1. Acceptance of Terms

By accessing or using the FranShift platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and FranShift Technologies, Inc. (“Company,” “we,” “us,” or “our”).

2. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

3. Description of Services

FranShift is a cloud-based franchise management platform that provides tools for managing branches, tracking sales, processing royalty payments, managing team members, and generating reports. Features and functionality may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. Subscription and Payments

The Service is offered under various subscription plans with different features and pricing tiers. By subscribing to a paid plan, you agree to the following:

  • Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select.
  • All fees are non-refundable unless otherwise stated or required by applicable law.
  • We may change subscription fees upon 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new fees.
  • Failure to pay fees on time may result in suspension or termination of your account.

5. Data Ownership and Usage

You retain full ownership of all data you submit to the Service (“Your Data”). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing the Service to you. We will not sell, share, or use Your Data for advertising purposes. You may export or delete Your Data at any time. Upon termination of your account, we will retain Your Data for 30 days before permanent deletion, unless a longer period is required by law.

6. Termination

You may terminate your account at any time by contacting our support team or using the account settings in the dashboard. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or engage in activity that may harm the Service or other users. Upon termination, your right to use the Service ceases immediately, and we may delete your account and data in accordance with our data retention policy.

7. Limitation of Liability

To the maximum extent permitted by applicable law, FranShift and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you via email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Makati City, Metro Manila, Philippines.
